Terms and Conditions

1. Who we are and what these terms cover

Garood ("Garood", "we", "us", "our") is a facilities-management software platform used by residential societies and their staff, committee members, vendors, and residents to manage assets, maintenance, breakdowns, preventive maintenance, complaints, and related records (the "Services").

Garood is currently operated by Kapil B Vishnubhatla, an individual based in Hyderabad, Telangana, India, trading under the name "Garood." Garood is not yet incorporated as a company. When a company is formed, these terms will be updated to name that entity, and the operator's rights and obligations under these terms may be transferred to it (see Section 16).

These Terms and Conditions ("Terms") govern access to and use of the Services. They are a legal agreement between you (and, where you act for a society or vendor, that organisation) and the operator named above.

2. Acceptance

Access to Garood is by invitation only. There is no open public sign-up. By accepting an invitation, creating an account, or logging in and using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

A resident may raise a complaint about an asset without creating an account. In that case, no account is created and these Terms do not apply to that one-time submission; the information collected is handled in line with our Privacy Policy, and a notice is shown at the point of collection.

You confirm that you are at least 18 years old. Garood is intended for adults and is not directed at minors.

3. The nature of the Services — pilot / early-access software

Please read this carefully. Garood is currently provided as pilot / early-access software. This means:

  • The Services are under active development and may contain errors, defects, or incomplete features.
  • Features may be added, changed, or removed during the pilot.
  • The Services may be interrupted, suspended, or unavailable from time to time, with or without notice, including for maintenance.
  • Data and configurations created during the pilot may need to be migrated or reset as the platform evolves.

The Services are provided to support facilities-management operations; they are a tool, and they do not replace the society's own judgement, statutory obligations, safety procedures, or professional advice.

4. How access works (invitation-based, role-based)

Garood is used by organisations (residential societies and vendors) and the individuals associated with them. Access is extended in sequence by invitation:

  • A society's administrator is set up first and may invite Facility Managers, committee / treasurer / auditor roles, and residents.
  • Vendor organisations are onboarded and may invite Vendor Managers and Vendor Technicians.
  • Residents join voluntarily.

Each user is given a Garood-specific login for the pilot. Garood does not use third-party social logins. The roles, permissions, and data available to each user are determined by the onboarding organisation and the platform's role model. You agree to use the Services only within the role and permissions assigned to you.

The society or vendor that onboards is responsible for managing its own users and the data it enters, and for ensuring its users are authorised and act in accordance with these Terms.

5. Your account

  • Provide accurate information and keep it current.
  • Keep your login credentials confidential; you are responsible for activity under your account.
  • Do not share your account or let others use it.
  • Notify us promptly at hello@garood.com if you believe your account has been compromised.

6. Fees

During this pilot, the Services are provided to the onboarding organisation at a separately agreed (discounted) rate, arranged and settled outside the platform. Garood does not process payments through the platform and does not integrate any payment gateway (such as UPI or a card processor). Nothing in these Terms creates an obligation to pay through the Services. Commercial terms for the pilot, if any, are set out in the separate arrangement between the operator and the onboarding organisation.

7. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in breach of these Terms;
  • Access, or try to access, data or areas of the Services you are not authorised to;
  • Interfere with, disrupt, probe, or attempt to gain unauthorised access to the Services or their infrastructure;
  • Upload or enter content that is unlawful, infringing, malicious (including malware), or that you have no right to provide;
  • Copy, scrape, reverse-engineer, decompile, resell, or create derivative works from the Services, except as permitted by law;
  • Use the Services to store or process personal data of others except as needed for legitimate facilities-management purposes and in line with applicable law.

We may investigate and respond to suspected breaches, including by suspending access (see Section 13).

8. Content and data you provide

You are responsible for the accuracy and lawfulness of the information you enter into Garood. As between the operator and an onboarding organisation, the organisation remains responsible for the personal data of its members, staff, vendors, and residents that it manages through the Services.

How personal data is handled — and the respective roles of the society (as the party in control of its operational data) and Garood (as the platform that processes that data on the society's instructions) — is described in the Garood Privacy Policy, which forms part of these Terms. 9. Intellectual property

The Services, including the Garood software, platform, design, and the "Garood" name and branding, are owned by or licensed to the operator and are protected by applicable law. These Terms do not transfer any ownership to you.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the pilot, for their intended facilities-management purpose, within your assigned role.

You retain rights in the data and content you enter; you grant the operator the right to host, process, and display that content as necessary to provide the Services and as described in the Privacy Policy.

10. Confidentiality

Non-public information about the Services (including features, functionality, and access arrangements made available to you during the pilot) is confidential. You agree not to disclose it to third parties except as needed to use the Services, and to protect it with reasonable care.

11. Disclaimers / warranties

To the maximum extent permitted by law, and given the pilot / early-access nature of the Services, the Services are provided "as is" and "as available." We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that any defects will be corrected, or that the Services will meet your requirements. Any implied warranties are disclaimed to the extent the law allows.

This does not exclude or limit anything that cannot be excluded or limited under applicable Indian law.

12. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, business, or goodwill, arising out of or related to the Services or these Terms.
  • Our total aggregate liability arising out of or related to the Services or these Terms is limited to INR 11,000.

Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited under applicable Indian law.

13. Suspension and termination

We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, if required by law, or if necessary to protect the Services or other users. We may also discontinue the pilot.

An onboarding organisation may stop using the Services, and an individual user's access ends when the organisation offboards them or when their account is removed. On termination, your right to use the Services ends. Handling of personal data following termination is described in the Privacy Policy. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) will survive.

14. Changes to the Services and to these Terms

Because Garood is in active development, we may change the Services at any time during the pilot. We may also update these Terms. Where changes are material, we will take reasonable steps to notify account holders, and the "Last updated" date will change. Continued use after changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory rights you have under law, the courts at Hyderabad, Telangana will have jurisdiction over disputes arising out of or relating to these Terms. The parties will first attempt to resolve disputes in good faith through discussion.

16. General

  • Assignment. You may not assign or transfer your rights under these Terms. The operator may assign or transfer these Terms — for example, to a company formed to operate Garood — and will notify account holders of any such transfer.
  • Entire agreement. These Terms, together with the Privacy Policy and any separate written arrangement with an onboarding organisation, are the entire agreement on their subject matter.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. A failure to enforce a provision is not a waiver of it.
  • Relationship. Nothing here creates a partnership, employment, or agency relationship between you and the operator.
  • Notices. We may give notices through the Services or to the email associated with your account. You can reach us at hello@garood.com.
